Before signing a commercial agreement

A practical starting point for understanding obligations before you commit.

Before signing a commercial agreement

Read the complete agreement, including schedules and referenced documents. Identify the parties, the work or goods involved, payment arrangements and what happens if expectations are not met.

Write down anything that is unclear. Ask about variations, renewal, termination, confidentiality and the dispute-resolution clause. An incomplete understanding is a reason to seek review, not to assume a clause has no effect.

Bring your commercial objective and the latest draft to a consultation. This checklist is general preparation, not a conclusion about enforceability or your legal position.

General preparation only, not legal advice. An enquiry does not suspend a deadline.
